By accessing and using our website (www.social360suite.com) and our social-media management software (the “Service”), you agree to comply with and be bound by these Terms of Use.
If you do not agree, please discontinue use immediately.

By creating an account or using any part of the Service, you agree to these Terms and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.


2. Use of the Service

2.1 Eligibility

You must be at least 18 years old to use Social 360 Suite.
By using the Service, you represent and warrant that you meet this requirement.

2.2 User Account

To access certain features, you must register an account.
You are responsible for:

  • Maintaining confidentiality of your credentials

  • All activity under your account

  • Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts involved in suspicious or unauthorized activity.

2.3 Prohibited Activities

You agree not to:

  • Violate any applicable law or regulation

  • Infringe intellectual-property or privacy rights

  • Upload or transmit malware, harmful code, or spam

  • Circumvent or interfere with security features

  • Use automated systems (bots, scrapers) without written consent

  • Misuse the Service to impersonate others or post prohibited content


3. Third-Party Integrations & APIs

Social 360 Suite connects with various third-party platforms including Meta (Facebook & Instagram), X/Twitter, LinkedIn, Google, YouTube, Pinterest, TikTok, and WhatsApp via official APIs.

By authorizing these connections:

  • You grant Social 360 Suite limited access to data required for publishing and analytics.

  • You remain bound by the respective platforms’ terms of service.

  • You may revoke permissions at any time from those platforms’ settings.

We do not store passwords or credentials; secure OAuth 2.0 tokens are used for authentication.


4. Intellectual Property

4.1 Ownership

All content, features, and functionality on the Service—including software code, text, graphics, logos, and UI design—are the property of Sphinix Marketing Pvt. Ltd. or its licensors and protected by copyright and trademark laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to compliance with these Terms.
You may not copy, modify, distribute, or reverse-engineer any part of the platform.


5. Payments and Billing

Paid plans are billed according to the pricing published on our website or billing portal.
By subscribing, you agree to:

  • Pay all applicable fees and taxes

  • Provide accurate payment details

  • Authorize automatic renewals unless canceled before renewal date

Refunds: Granted only as required by law or at our sole discretion.


6. Termination and Suspension

We may suspend or terminate your account without notice if:

  • You violate these Terms or applicable API/platform policies

  • You engage in misuse or fraudulent activity

  • Required payments are not received

Upon termination, your access is revoked and your data handled per our Data Retention Policy.


7. Disclaimer of Warranties

The Service is provided “as is” and “as available.”
We do not guarantee:

  • Continuous, secure, or error-free operation

  • Compatibility with all browsers, devices, or third-party APIs

  • Any specific business results or outcomes

Use of the platform is at your own risk.


8. Limitation of Liability

To the maximum extent permitted by law:

  • Social 360 Suite and its affiliates shall not be liable for indirect, incidental, or consequential damages, including lost profits, data, or goodwill.

  • Our total aggregate liability for any claim shall not exceed the amount paid by you during the six (6) months preceding the claim.


9. Indemnification

You agree to indemnify, defend, and hold harmless Sphinix Marketing Pvt. Ltd., its directors, employees, and partners from any claims, damages, or expenses arising from:

  • Your use of the Service

  • Violation of these Terms or any law

  • Infringement of third-party rights


10. Privacy and Data Handling

All personal data is processed according to our Privacy Policy.
We comply with relevant privacy regulations including GDPR and CCPA and follow the data-deletion timelines defined therein.


11. Service Modifications

We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice.
Significant updates will be communicated through email or in-app notification.


12. Governing Law

These Terms are governed by the laws of India, and any disputes shall fall under the exclusive jurisdiction of the courts in Bhavnagar, Gujarat.


13. Changes to Terms

We may revise these Terms from time to time.
The revised version will be effective when posted on our website and indicated by an updated “Last Updated” date.
Continued use of the Service constitutes acceptance of the revised Terms.
